1.  Service Terms

1.1 The “eLearning Service” is the provision of certain Content and, where specified in the Order Form, a software or web-based Learning Management System.

1.2 “Content” means self-paced ethics, compliance, and other learning materials consisting of instructional audio-visual media, course notes, and/or online assessments, and “Learning Management System” means a solution for the administration, documentation, tracking, reporting, and delivery of educational technology courses or training programs.

1.3 Safecall shall provide helpdesk services in relation to the eLearning Services, which shall comprise phone and/or email support Monday-Friday 9am-5pm UK time (excluding public and bank holidays).

1.4 The Customer shall be responsible for ensuring that its relevant equipment for accessing the eLearning Services is suitable and operational at all relevant times.

2.  Service Period

2.1 The Service Period shall be an initial period of twelve (12) months, which shall automatically renew for a further period of twelve (12) months at the end of the initial period and at the end of each renewal period.

3.  Access

3.1 The Customer shall be responsible for ensuring that its relevant equipment for accessing the eLearning Service is fully operational at the Licence Start Date.

3.2 Following the entry into this Agreement by the parties, Safecall shall enable the Users to access the eLearning Service via the Internet, either;

(a) by sending the Customer a SCORM implementation file; or

(b) by sending the Customer an account creation e-mail containing User login details and/or Administrative User login details.

4.  Limits

4.1 The eLearning Services shall be limited with reference to the number of Authorised Users and the number of Administrative Users specified in the Order Form. “Authorised Users” are users that the Customer has provided with credentials to access the eLearning Services using the method provided by Safecall, including the Administrative Users. “Administrative Users” are those Authorised Users whose credentials grant them administrator-level access.

4.2 The use of the eLearning Services is restricted to use on and in conjunction with the Customer’s computer systems, including licensed third-party software and employee laptops, tablets, and mobile phones.

5.  Invoicing

5.1 The Charges for eLearning Services shall be invoiced annually in advance.

6.  Exclusions

6.1 The Customer acknowledges that the eLearning Services have not been prepared to meet the Customer’s individual requirements and that it is therefore the responsibility of the Customer to ensure that the facilities and functions of the eLearning Services meet its requirements. Safecall shall not be liable for any failure of the eLearning Services to provide any facility or function not specified in the Contract.

6.2 Safecall provides the eLearning Services ‘as is’ and ‘as available’. To the extent permitted by Law, Safecall excludes all warranties, conditions, and other terms (whether express or implied) other than as expressly set out in the Contract.
